1. Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and Invoya ("Company," "we," "us," or "our") concerning your access to and use of our invoice generation service. By accessing or using our service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the service.

2. Service Description

Invoya provides an AI-powered invoice generation service that allows users to:

  • Upload invoice documents or images
  • Extract data automatically using AI technology
  • Generate professional PDF invoices
  • Customize invoices with branding and templates
  • Manage and organize invoices

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time with or without notice.

3. Account Registration and Responsibilities

3.1 Account Creation

To use our service, you must create an account by providing accurate and complete information. You must be at least 18 years old to create an account.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason we deem appropriate.

4. Credits, Pricing, and Payments

4.1 Credit System

Our service operates on a credit-based system. Each invoice generation costs 1 credit. Credits do not expire. New users receive 5 free credits upon registration.

4.2 Purchasing Credits

Credits can be purchased through our website. All purchases are processed securely through Stripe. Prices are displayed in your local currency and are subject to change with notice.

4.3 Refund Policy

Credit purchases are generally non-refundable. However, we may consider refund requests on a case-by-case basis for technical issues or service failures. Unused credits remain in your account and do not expire.

4.4 Subscriptions

If you subscribe to our "Subscribe & Save" plan, you will be charged monthly for the selected credit pack until you cancel. You may cancel your subscription at any time, and it will remain active until the end of the current billing period.

5. Acceptable Use Policy

You agree not to use the service to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others, including intellectual property rights
  • Upload malicious code, viruses, or any harmful content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use the service for fraudulent purposes or to generate fraudulent invoices
  • Interfere with or disrupt the service or servers
  • Use automated systems to access the service without our written permission
  • Resell or redistribute the service without authorization

6. Intellectual Property Rights

6.1 Our Intellectual Property

The service, including all content, features, and functionality, is owned by Invoya and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

6.2 Your Content

You retain all rights to the content you upload to the service, including invoice documents and images. By uploading content, you grant us a limited license to process, store, and display your content solely for the purpose of providing the service to you.

6.3 Generated Invoices

You own all invoices generated through our service. We do not claim any ownership rights to your generated invoices.

7. Data and Privacy

Your use of the service is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

8. Disclaimers and Limitations of Liability

8.1 Service Provided "As Is"

The service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the service will be uninterrupted, error-free, or secure.

8.2 AI Accuracy

While our AI-powered data extraction is designed to be accurate, we do not guarantee 100% accuracy. You are responsible for reviewing and verifying all extracted data before generating final invoices.

8.3 Limitation of Liability

To the maximum extent permitted by law, Invoya shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Invoya and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the service, violation of these Terms, or violation of any rights of another.

10. Third-Party Services

Our service integrates with third-party services, including Stripe for payment processing and OpenAI for AI capabilities. Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the actions or policies of these third parties.

11. TICO Compliance

Our service includes optional TICO (Travel Industry Council of Ontario) compliance features for users in the travel industry. While we provide tools to help with compliance, you are solely responsible for ensuring your invoices meet all applicable legal and regulatory requirements.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

12.2 Dispute Resolution

Any disputes arising from these Terms or the service shall be resolved through good faith negotiations. If negotiations fail, disputes shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by email or through the service. Your continued use of the service after such changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the service.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Invoya regarding the use of the service and supersede all prior agreements and understandings.
